Terms of Service

1. Purpose

These Terms of Service (“Terms”) establish the conditions under which users may access and interact with huntrix.io (“Website”) and the professional cybersecurity services provided by Huntrix LLC DBA Huntrix (“Huntrix,” “we,” “our,” “us”). By using the Website or engaging with our services, you agree to these Terms. If you do not agree, please discontinue use immediately.

2. Scope

These Terms apply to all visitors, clients, and users of the Website or our services. Additional contractual terms may apply when purchasing services from Huntrix. These Terms incorporate our Privacy Policy (https://huntrix.io/privacy).

3. Roles and Responsibilities

3.1 Visitors

  • May access publicly available content.
  • Must comply with all applicable laws and these Terms.
  • Are prohibited from unauthorized security testing, hacking, or other misuse.

3.2 Clients

  • Engage with our cybersecurity services through separate contracts.
  • Must adhere to service agreements and confidentiality obligations.
  • Are responsible for their own compliance with legal and security requirements.

3.3 Huntrix Administrators

  • Manage the Website, services, and security policies.
  • Reserve the right to suspend or terminate access due to violations.
  • Maintain intellectual property rights over Website content and services.

4. Terms

4.1 Website Use

  • The Website is intended for business and educational purposes related to cybersecurity.
  • By using the Website, you affirm that you are at least 18 years old or the legal age of majority in your jurisdiction.

4.2 User Account and Registration

  • Currently, users do not need to create an account to access the Website.
  • If accounts are introduced in the future, users must provide accurate information and maintain the confidentiality of their login credentials.

4.3 Authorized and Prohibited Use

  • The Website is for lawful business purposes related to cybersecurity.
  • Unauthorized penetration testing, hacking, or distribution of security reports without authorization is strictly prohibited.
  • Activities such as spamming, phishing, scraping, or any other unlawful use are not allowed.

4.4 No Guarantee of Security or Business Success

  • No system is 100% secure. We do not guarantee absolute security, compliance success, or new business opportunities arising from security assessments.
  • We do not guarantee business success, revenue increase, or specific outcomes from engaging with our services.
  • We do not offer legal, tax, or financial advice. Consult a professional for such matters.

4.5 Responsibilities of Users & Clients

  • Users and clients are solely responsible for their business operations and legal compliance.
  • Huntrix is not liable for non-compliance with cybersecurity regulations or business laws.
  • Clients must report and handle any applicable taxes related to purchased services.

4.6 Limitations of Liability

  • To the extent permitted by law, Huntrix’s liability is capped at $1,000 or the amount paid for services in the past month, whichever is lower.
  • We are not liable for indirect, incidental, punitive, or consequential damages.

4.7 Dispute Resolution & Arbitration

  • All disputes must first be addressed through written notice to legal@huntrix.io.
  • If unresolved within 120 days, disputes will be resolved through binding arbitration under the laws of Louisiana.
  • Users waive the right to participate in class action lawsuits.
  • Arbitration will be conducted by a single neutral arbitrator under the rules of the American Arbitration Association (AAA).
  • Each party is responsible for its own arbitration costs unless otherwise required by law.

4.8 Force Majeure

  • Huntrix is not responsible for delays or failures due to events beyond our control, including but not limited to natural disasters, cyberattacks, government actions, labor strikes, or technical failures.

4.9 Intellectual Property & Copyright Protection

  • All content, branding, and materials on the Website are the exclusive property of Huntrix.
  • Unauthorized reproduction, distribution, modification, or commercial use of Huntrix intellectual property is strictly prohibited.

4.10 Testimonials, Reviews, and User-Submitted Content

  • Any feedback, reviews, or testimonials submitted by users may be used by Huntrix for marketing and promotional purposes.
  • Users retain the right to request removal of testimonials or feedback they have provided.

4.11 Third-Party Links & External Sites

  • The Website may contain links to third-party websites for informational purposes.
  • Huntrix is not responsible for the content, policies, or security of third-party sites.
  • Users should review the terms and privacy policies of external sites they visit.

4.12 Indemnification

  • Users agree to indemnify, defend, and hold harmless Huntrix, its affiliates, employees, and agents from any claims, damages, or liabilities arising from violations of these Terms or misuse of the Website.
  • This includes legal fees incurred due to user actions that result in disputes or regulatory violations.

4.13 Termination of Access & Account Suspension

  • Huntrix reserves the right to terminate or suspend access to the Website and services for violations of these Terms.
  • Termination may occur without prior notice if a user engages in activities that compromise the security or integrity of Huntrix systems.
  • Upon termination, users remain responsible for any outstanding obligations or payments.

4.14 Governing Law & Jurisdiction

  • These Terms are governed by the laws of Louisiana.
  • If arbitration is not applicable, disputes shall be resolved in the courts located in Louisiana.
  • Users waive any objections to jurisdiction and venue in such courts.

4.15 Notice and Takedown Procedures (Copyright Infringement)

  • If you believe content on our Website infringes your copyright, you may submit a takedown request to legal@huntrix.io.
  • Counter-notices disputing claims of infringement may also be submitted to the same email.

4.16 Consultation Offer & Reimbursement Terms

As part of our promotional efforts, Huntrix may offer a free consultation and security maturity roadmap in exchange for basic contact information (such as name, email address, and phone number) submitted through a Website pop-up or form.

This offer may be accompanied by language such as: “If you’re not satisfied, we’ll pay you for your time.” For clarity, this statement means:

  1. If a participant completes a scheduled consultation with Huntrix and is not satisfied with the experience, they may request reimbursement for the time spent on the call.
  2. No additional justification or reasoning is required beyond expressing dissatisfaction.
  3. To determine the reimbursement amount, the participant must submit a copy of their most recent tax return (or similar income documentation).
  4. Huntrix will calculate the effective hourly rate by dividing the annual income listed on the tax return by 2,080 hours (the standard number of work hours in a year).
  5. The resulting rate will be multiplied by the number of minutes spent on the consultation (rounded to the nearest 15-minute increment).
  6. Reimbursements are made via ACH or other approved method, within 30 business days after eligibility and documentation are confirmed.
  7. This offer is limited to one reimbursement per individual or organization and only applies to the initial free consultation.

Huntrix reserves the right to update or discontinue this promotional offer at any time.

4.17 No Waiver

  • Failure to enforce any provision of these Terms does not constitute a waiver of rights.

4.18 Assignment

  • Huntrix may assign its rights under these Terms at any time without notice.
  • Users may not transfer their rights or obligations without prior written consent from Huntrix.

4.19 Electronic Signature

  • By using our Website or services, you consent to electronic communications and agree that electronic agreements are legally binding.

4.20 Changes to the Agreement

  • Huntrix reserves the right to modify these Terms at any time.
  • Updated Terms will be posted on the Website, and continued use constitutes acceptance of changes.

4.21 Severability

  • If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions remain in full effect.

4.22 Entire Agreement

  • These Terms, along with the Privacy Policy, represent the entire agreement between users and Huntrix.

  • Huntrix implements internal security audits and compliance reviews to ensure adherence to these Terms.
  • We maintain logs and monitoring systems to track access and detect unauthorized activities.
  • Security updates and patches are applied regularly to maintain the integrity of our services.
  • Compliance with relevant data protection and cybersecurity regulations is reviewed periodically.

6. Non-Compliance

  • Violations of these Terms may result in restricted access, termination, or legal action.
  • Huntrix reserves the right to pursue any remedies available under applicable law.
